Key Insights from the Conversation How did your background across MNCs and Indian manufacturing shape your view of the legal role?

Amit describes his journey from the highly structured environment of P&G to the gritty reality of Indian manufacturing as a powerful evolution. What does having a "seat at the table" actually look like inside a high-stakes chemicals company?

Having a seat at the table means moving past the traditional role of a reactive legal advisor. In a complex, heavily regulated sector like chemicals, the legal function is deeply intertwined with business velocity. Amit emphasizes that when a high-value commercial deal wants to close fast but risk metrics demand a slowdown, the general counsel must possess the business acumen to calibrate that risk, ensuring the company scales safely without halting growth momentum.

What drove you to build custom legal tools from scratch inside your organizations?

Long before legal tech became an off-the-shelf trend, Amit engineered custom internal platforms, including a proprietary Litigation Manager and Compliance Software. The drive was simple: solving immediate operational bottlenecks and safeguarding data. By digitizing workflows internally, his team moved away from manual tracking, drastically reducing turnaround times and empowering leadership with transparent, real-time legal data dashboards.

How do you successfully balance the conflicting ESG demands of investors, regulators, and civil society?

Navigating ESG requires holding multiple definitions of success simultaneously without losing institutional coherence. Investors prioritize risk mitigation and capital protection, regulators demand strict statutory compliance, and civil society looks for measurable ground-level impact. Amit’s blueprint involves integrating these expectations into a unified corporate governance framework, allowing NOCIL to secure three consecutive ET Legal CSR Awards by turning compliance into a value driver.

What is the most underrated governance failure you still see Indian companies making?

Amit notes that many organizations still view corporate governance as a mere check-the-box exercise rather than an institutional culture. The most underrated failure is an over-reliance on paper-thin compliance checkmarks while ignoring underlying cultural transparency. True governance requires an active, top-down commitment to ethical clarity, ensuring that internal reporting mechanisms and board-level visibility remain absolutely uncompromised.

What is the "AI Reality" for the legal sector, and what remains pure hype?

Amit views the current explosion of Generative AI with a lens of balanced realism. The genuine innovation lies in utility—automating high-volume, predictable tasks like document parsing, contract sorting, and initial triage. The hype, however, is the idea that technology can replace human legal intuition. AI can process information at lightspeed, but it cannot replicate "judgment calibration"—the nuanced ability to forecast risk based on years of human experience and ethical context.

What is the single biggest barrier to legal tech adoption in Indian organizations today?

The primary hurdle isn’t capital or the quality of software; it is cultural inertia. Many legal departments suffer from a deep-rooted resistance to shifting away from traditional, manual workflows. Furthermore, there is often a fundamental misunderstanding of tech ROI, as organizations look for immediate financial returns rather than evaluating the long-term risk mitigation, accuracy, and operational hours saved by automation.

What advice do you have for young lawyers wanting to build a multi-faceted career?

For the next generation looking to span law, governance, sustainability, and technology, Amit offers advice that goes beyond standard corporate platitudes. He emphasizes the absolute necessity of continuous learning, unlearning, and relearning. To excel today, a lawyer cannot just understand the letter of the law; they must deeply understand the business operations, financial metrics, and technological tools of the industry they serve.

How are modern enforceability challenges and overbreadth redefining confidentiality clauses?

The legal landscape surrounding confidentiality is undergoing an intense evolution, particularly concerning the overbreadth and potential misuse of non-disclosure terms. Amit breaks down these challenges by highlighting how courts are increasingly scrutinizing agreements that unreasonably restrict information or talent mobility. He emphasizes the need for highly precise, context-specific drafting to ensure these critical clauses remain legally enforceable under modern judicial scrutiny.
